Independent Compliance Officer in accordance with the Mexican Retirement Plan System Financial Provisions (CUFSAR)

CHM Compliance as Compliance Officer, offers the following services:

1. QUARTERLY AND/OR ANNUAL REVIEWS

According to the CUFSAR the Independent Compliance Officer shall verify:

  1. Oversee that the costs and expenses incurred by the Structured Securities correspond to those necessary for the operation of the instrument under the concepts established and disclosed to the investing public ("Supervision of Costs and Expenses").
  2. Validate the percentage of co-investment presented in the projects and investments in which the Structured Securities invests, follow up and validate the information on the amounts invested by the Manager with respect to the authorized amounts, the amounts of disinvestment, and the validation of the capital flows presented by the trust ("Supervision of Co-Investments, Investments, Disinvestments and Capital Flows").
  3. Oversee that the Structured Securities complies with the Applicable Regulations ("Supervision of Regulatory Compliance").
  4. Oversee that the Manager of the Structured Securities complies with its internal guidelines and manuals, as well as with the characteristics of experience and qualifications required by the regulation ("Internal Compliance Supervision").

The Compliance Officer shall issue quarterly and annual reports on the activities performed, and if applicable, the observations, considerations and conclusions of its review, which shall include the aforementioned concepts and sections.

The scope of services may include adjustments, nuances and/or additional services at the request of the corresponding Assembly and/or the Manager of the Structured Securities.

Currently, CHM acts as Independent Compliance Officer in public and private instruments, being the leading company in providing this service in terms of the CUFSAR.

2. SPECIAL REVIEWS OF COSTS AND EXPENSES

In addition to the quarterly and annual reviews, the Compliance Officer may perform special reviews of costs and expenses of the trust.

The Compliance Officer will deliver a special report on the activities performed, and if applicable, the observations, considerations and conclusions of his review, indicating whether the cash flows correspond to the purposes of the trust and to what is established in the operation documents.

3. HISTORICAL REVIEWS

Likewise, and at the investors' request, the Compliance Officer may perform historical reviews of the information, considering the scope of the services provided for in items 1 and/or 2 above.
